This Addendum supplements the SpeechGradebook Terms of Service and Privacy Policy for institutional pilot deployments. Seat counts, dates, department scope, and fees are set in the Institution’s pilot order or statement of work. It is not a substitute for a signed enterprise SaaS agreement or institution-specific DPA. Technical OIT statements (for example U.S. residency, LTI 1.3, and MFA) are published in the Institutional addendum and may be incorporated by reference in the pilot order.
“Company” means ValidBound LLC. “Institution” means the higher education entity named in the pilot order. “Application” means the hosted SpeechGradebook service at speechgradebook.com.
Company grants the Institution a limited, non-exclusive, non-transferable license to use the Application within the designated department(s) for the agreed pilot window. The pilot is capped at the maximum Instructor Accounts and Student/Practice Accounts stated in the pilot order.
The parties agree that Company is a “School Official” with a legitimate educational interest in the student records and User Content processed through the Application, as defined by FERPA (20 U.S.C. § 1232g; 34 CFR Part 99), solely to provide the pilot services.
For U.S. institution deployments, institutional data resides in the United States in the standard hosted configuration and is not transferred outside the United States for collection, processing, storage, or archiving.
Data in transit is protected with TLS 1.2+. Data at rest is protected with AES-256 encryption via the Application’s primary data platform (Supabase PostgreSQL and Storage).
Within thirty (30) days following expiration or termination of the Pilot Period, Company will archive or delete student video/audio recordings and evaluation/gradebook records associated with the pilot through operational procedures, unless the Institution transitions to a continuing commercial agreement or requests an earlier data export. This commitment is contractual/operational; it is not currently implemented as an automatic in-product purge job.
In the default hosted configuration, evaluations use the SpeechGradebook Model via Company’s backend proxy and do not send student media to consumer LLM APIs. Company will not use student voice recordings, video streams, transcripts, or rubric results to train public third-party models. Inference sub-processors process content to deliver evaluation jobs for the service.
Institution data is logically isolated from other tenants. Authorized Institution administrators may manage, archive, and request deletion of student data consistent with the pilot order and applicable law.
If the Institution requires a separate Data Processing Agreement or FERPA contractual addendum, Company will provide one on request for execution alongside (or incorporated into) the pilot order.
The parties may review platform performance based on system availability, instructor time savings on rubric drafts, and student platform engagement, as agreed in the pilot order.
Upon completion of the Pilot Period, continued institutional access requires execution of a ValidBound enterprise SaaS agreement (or renewal pilot order) at the then-current institutional rate tier, unless otherwise agreed in writing.
Except as expressly stated in a signed enterprise agreement or DPA that supersedes these Terms for a specific subject, the Institution’s and its users’ use of the Application is subject to the SpeechGradebook Terms of Service, including Acceptance of Services, Disclaimer of Warranties, Limitation of Damages, and Aggregate Liability Cap. For clarity, the limited customer indemnity in the Terms that applies to individual Practice / self-serve accounts does not apply to the Institution under this Pilot Addendum (see Terms §9.3). These Terms do not require the Institution to provide a broad hold-harmless where prohibited by law or institutional policy. For free or complimentary pilots, fees paid during the preceding twelve (12) months may be zero, and the Aggregate Liability Cap may therefore be zero to the maximum extent permitted by law.
